Online Portal Terms & Conditions

Definitions

  • Bidder: means a law firm or other company participating as a bidder in an auction.
  • Bidder User: means a user from a Bidder organization.
  • Customer: means the company having signed up for a Service Agreement and using the Online Portal for creating and holding auctions for requesting bids.
  • Customer User: means users representing the Customer.
  • Online Portal: means the auction website platform providing services to two types of users: i) Customer Users seeking providers of legal services and ii) Bidders (legal services providers) who are invited to participate in the auctions that Customer Users conduct on the auction website platform.
  • Service Agreement: means the applicable commercial service agreement between the Customer and the Vendor Group.
  • Trial User: means a user from a company that is trialing the Online Portal.
  • Vendor Group: means CounselOps Inc. and any CounselOps group company.

Terms and Conditions for Customer Users

By accessing and using the Online Portal, you agree to comply with and be bound by these T&Cs.

Your use of the Online Portal is primarily regulated by the Service Agreement. For details on the Service Agreement, contact the solution administrator at your organization.

In addition to the Service Agreement, the following provisions apply to the use of the Online Portal.

Registration and Account Security

Only authorized users from your organization can access and use the Online Portal. Ensure that your login details remain confidential and are not shared with unauthorized individuals. You must follow any requirements on account management, such as password security and use of Multi-factor authentication (“MFA”).

Notify the Customer solution administrator and security@counselops.com immediately if you suspect any unauthorized use of your account.

Proper Use and Conduct

The Online Portal is only to be used for its intended purposes and in a manner consistent with the Service Agreement.

You agree to use the Online Portal only for lawful purposes in accordance with these Terms and Conditions, and you are solely responsible for all information provided or uploaded to the Online Portal. You commit to not submitting any material that may infringe on the intellectual property rights of any third party, engage in any illegal, defamatory, derogatory, or offensive activities, and to use the Online Portal in a way that does not damage or interfere with its operation or contents. Any misuse or violation of these Terms & Conditions may result in the immediate suspension or termination of your access to the Online Portal.

Data and Confidentiality

Protect all confidential and proprietary information accessed through the Online Portal. Do not disclose such information without proper authorization.

Respect the privacy of other users. Do not access, modify, or distribute another user's data without appropriate permissions.

Limitation of liability and disclaimer of warranty

The Online Portal and any material are provided "as is" without warranties of any kind, either express or implied.

Vendor Group is not liable for any direct, indirect, special, incidental, punitive, consequential losses or damages or any loss of profits, revenue, data, or goodwill, whether incurred by the claimant or a third party.

Indemnification

You agree to defend and indemnify Vendor Group from and against all third party claims and all liabilities, assessments, losses, costs, or damages resulting from or arising out of (i) your breach of these Terms & Conditions, (ii) your infringement or violation of any intellectual property rights, other rights, or privacy of a third party, or (iii) misuse of the Online Portal by a third party where the misuse was made possible by your failure to take reasonable measures to protect your username and password against misuse.

Access termination

We reserve the right to at our sole discretion terminate or suspend your account and access to the Online Portal, without notice.

Terms and Conditions for Bidders

By accessing and using the Online Portal, you represent and warrant that you are acting on behalf of the Bidder and have the authority to bind the Bidder to these Terms and Conditions. Any actions, commitments, or representations made by you in the Online Portal will be considered actions, commitments, and representations of the Bidder.

For the purposes of these Terms and Conditions, "You" refers to both the "Bidder" and the "Bidder User." Any obligations, responsibilities, rights, or actions attributed to "You" within this agreement apply collectively to both the Bidder as an entity and the individual Bidder User accessing and using the Online Portal.

In addition to these Terms & Conditions, You must comply with any specific conditions a Customer User has set out in an auction request.

You commit to not submitting any material that may infringe on the intellectual property rights of any third party, engage in any illegal, defamatory, derogatory, or offensive activities, and to use the Online Portal in a way that does not damage or interfere with its operation or contents.

Intellectual Property

Except for material provided by You, the Customer and the Vendor Group respectively own all rights, titles in and to all intellectual property rights in the Online Portal. No rights to intellectual property rights are granted to You hereunder.
